1. Agreement Overview

This Terms of Service Agreement ("Agreement") governs your use of PSAP Central, a public safety training platform provided by Equature ("Provider"). By subscribing to or using PSAP Central services, you ("Customer") agree to be bound by these terms.

2. Service Description

PSAP Central is a cloud-based public safety training platform developed by Equature. It provides agencies and organizations with tools to train, evaluate, and support their personnel through simulations, practice scenarios, learning management, analytics, and quality assurance.

3. Subscription and Billing

Trial accounts do not require a credit card and are never automatically converted to a paid subscription — you will not be charged simply by creating or using a trial account. Billing occurs only when you explicitly authorize a charge, either by providing a credit card on file or through a purchase arrangement with one of our sales representatives, at which point an invoice will be issued. Subscriptions renew at the end of each billing period unless cancelled.

4. Cancellation and Refunds

If your subscription is billed via credit card, you may cancel at any time through the billing portal. If your account is billed by invoice through a sales representative, cancellation must be requested by contacting your account representative or our accounting team directly. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial periods. Contact support@equature.com for general billing inquiries.

5. AI Services Disclaimer

PSAP Central utilizes AI-powered features for training simulations and analysis. AI Services use probabilistic models and may occasionally generate incorrect or incomplete outputs. The Provider does not warrant the accuracy, completeness, or appropriateness of AI-generated results. AI Services are designed to support training operations and are not intended to handle live emergency or life-safety calls directly.

6. Data and Privacy

The Customer retains all ownership rights in original data. The Provider will treat Customer data as confidential information and will not disclose it to third parties without prior written consent, except as required by law. Data is handled in accordance with applicable privacy laws.

8. Service Availability

The Provider will use commercially reasonable efforts to maintain availability of Cloud Services. Temporary interruptions for maintenance, hosting provider outages, or network issues do not constitute a breach. The Customer is responsible for internet access and network infrastructure required for services.

9. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for incidental, indirect, punitive, special, or consequential damages, including lost profits, lost data, or business interruption. The Provider's total aggregate liability shall not exceed the fees paid by the Customer during the twelve (12) months preceding the event giving rise to the claim.

10. Intellectual Property

The Provider retains all right, title, and interest in PSAP Central software, cloud services, and related intellectual property. The Customer is granted a non-exclusive, non-transferable license to use the services for internal business purposes during the subscription term.

11. Use of Anonymized Data and Simulated Recordings

PSAP Central records simulated training calls and related interaction data for quality assurance and product improvement. As used in this section, "Anonymized Data" refers exclusively to these simulated recordings and their associated training metadata — it does not include real emergency call recordings, live dispatch data, or any other Customer operational data.

Customer grants Provider a non-exclusive, royalty-free, perpetual license to de-identify, aggregate, and use Anonymized Data (i.e., data derived solely from simulated training recordings within PSAP Central) for analytics, product development, internal training, and AI model training.

Provider will apply commercially reasonable safeguards to remove personal identifiers, agency identifiers, and Criminal Justice Information ("CJI"). Anonymized Data will not contain CJI or personally identifiable information in identifiable form, and Provider will not attempt to re-identify it.

Customer retains ownership of original data. De-identified Anonymized Data may be retained and used in aggregated, non-attributable form in compliance with applicable law and, where applicable, CJIS requirements.

12. Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of Michigan, exclusive of its conflict of law rules.
